Donald W. Sapaugh, President and Director
Mr. Sapaugh has more than 20 years' health care management experience as both a Chief Financial Officer and President/Chief Executive Officer. He is a Director and President/CEO of PharmHouse Inc. From 1986 to 1996, he led one of the largest psychiatric management service organizations in the United States. During that time, the company generated over $750 million for its host hospitals and treated more than 50,000 patients in a full continuum of care. In 1996, Mr. Sapaugh founded what is now known as PremierCare, and he still serves as its President and CEO. He is a member of many health-related organizations, including the National Association of Private Health Systems and the American College of Hospital Administration. He served on President Bush's Committee on Mental Retardation from 1990 to 1993 and as Chairman of the President & Mrs. Bush Community Impact Award. He holds a BBA from the University of Houston with an Accounting major and a Doctor of Divinity from Louisiana Christian University. Mr. Sapaugh, wife Debra, and their three children live in Friendswood, Texas. |

Joanna Hoover, CPA, Chief Financial Officer, Chairman, Budget Committee
Ms. Hoover has been engaged in public accounting since 1973. Over the years she has provided virtually every type of tax and accounting services to individuals and businesses, served as auditor-in-charge of audit engagements, and provided extensive management advisory services to clients in various types of businesses. She graduated from Texas A&I University in 1971 (now Texas A&M Kingsville) and holds licenses in the fields of Insurance, Securities, and Investments. |

Carol A. Wilson, Secretary
Carol Wilson is a native Tennesseean who has made Houston, Texas, her home since 1980. She attended Arkansas State University and Memphis State University, and received her BA from Our Lady of the Lake University in San Antonio. She brings to the ITIS family of companies more than 30 years' experience as a legal secretary, legal assistant, legal administrator, and law firm accountant. Never one to think of herself as "just a secretary," she spent her 30+ years in three states learning how to do legal research and write appellate briefs, teaching seminars and courses for legal secretaries and legal assistants, and writing for law-related professional journals. In addition to articles in national, regional, and local publications, she authored Plain Language Pleadings (Prentice Hall 1996) to help legal assistants and others who assist lawyers to write in plain language. Her book gives her readers the courage to write legal documents in plain language and then shows them how to do it. Ms. Wilson is well respected in the legal community and has served on a State Bar of Texas Grievance Committee and a Harris County Grand Jury. She has earned and maintained professional certifications as a Professional Legal Secretary, a Certified Legal Assistant, CLA Specialist in Civil Litigation, CLA Specialist in Criminal Law & Procedure, and Certified Legal Secretary Specialist in Civil Trials. She has also been honored by professional associations as "Legal Secretary of the Year" and "Officer of the Year." She is the founder of Legal Secretaries International Inc. (www.legalsecretaries.org) and served as its first President. Wilson is also a member of American Mensa Ltd. and the Plain Language Association International (www.plainlanguagenetwork.org). She is excited about the opportunities to put her experience to work for ITIS Holdings Inc. and its subsidiaries. |

Kara Kirker, Treasurer
Mrs. Kara Kirker is the Treasurer. Kara A. Kirker has served as the Company's Treasurer and as the Chief Financial Officer and Treasurer of National Law Library since October 1, 1999. Prior to joining us, Ms. Kirker provided services to National Law on a contract basis as an officer of ITIS Inc., which is now Litidex, Inc. From January 1994 until National Law's inception in November 1998, Ms. Kirker served as the CFO, controller and treasurer of Litidex, Inc., in which positions she continues to serve. From 1981 to 1994, Ms. Kirker served as assistant treasurer of Stone & Webster Oil Company, Inc. in the revenue accounting area. |

Hunter M.A. Carr, Director
A lifelong entrepreneur, Hunter M. A. Carr is a visionary who knows how to get things done. He has founded many successful companies, including a "virtual" law library that makes legal research available and affordable to everyone in need of it. As CEO of ITIS, Inc. (Information Technology Information Services) a Texas corporation providing litigation support for 15 years, Mr. Carr was a pioneer in document management and in developing methods of storing millions of pages on PCs. This same experience was valuable to Mr. Carr as he founded Internet Law Library, Inc., the predecessor of ITIS Holdings Inc. and ITIS Inc. As CEO of ITIS Holdings Inc., Mr. Carr oversees millions of documents, thousands of Internet customers, and hundreds of employees. How he came by this vast knowledge, experience, and expertise is an interesting story. He found himself in a lawsuit against an insurance company that had eight attorneys working on the case. They produced 50,000 pages of documents that Mr. Carr's solo practitioner had never seen. To win the lawsuit, Mr. Carr needed to find one paragraph in one letter that proved a witness was giving false testimony. While Mr. Carr and his attorney were scratching their heads, the 50,000 pages turned into 250,000 pages. To solve the problem, Mr. Carr envisioned the data being fed into a PC, finding the software that would search the data, and letting those search engines turn that PC into an electronic paralegal. He did this, found the incriminating documents, and won the case. Mr. Carr also founded iExalt,Inc., which promotes Christian websites, education, news, research, and more while banning pornography, hate sites, and other areas found objectionable by Christian families. By combining his strong Christian faith and beliefs and his broad technological experience, Mr. Carr is fulfilling his dream of using computers to touch lives all over the world through the Internet. When Mr. Carr founded ITIS, Inc., in 1984, he knew it was just an opening door. ITIS, Inc. still operates successfully and provides searching, indexing, retrieval, document management, conversion, and expertise in database software and content on the Internet and otherwise. The ITIS family of companies provide an ever-increasing field of services to their customers through the use of Information Technology and Information Services. |

Kelley V. Kirker, Director
Mr. Kelley V. Kirker has over eighteen years of experience in software programming, document management, and content development. Mr. Kirker also serves as a director for ITIS, Inc. and Chairman/CEO of OnPoint Solutions, Inc. Mr. Kirker served as one of our vice presidents and was also a member of the audit committee. For 15 years with ITIS, Inc.and MLSI, Inc., Mr. Kirker served in various capacities, including vice president of programming and production, 1987 - 1994; President / COO from 1994 - 2000; and CEO from October 1, 1999 to June 2002. Mr. Kirker helped create and develop the original Litidex™ litigation support software, which is the genesis of the current Internet search software used by National Law Library. In his career with ITIS, Inc., the Texas corporation, Mr. Kirker was in charge of the production of several multi-million page databases for both litigation support and document management projects. As CEO, he has overseen all facets of the company. Prior to ITIS, Inc., Mr. Kirker worked approximately five years as a programmer analyst and senior programmer for Texaco, Inc., in its computer and information services area. Mr. Kirker holds a B.S. degree in Computer Science from Trinity University in San Antonio, Texas. |
